BUSINESS TERMS / VERSION 13 OCTOBER 2026

Clear agreements.
A good working relationship.

1. Parties and scope of application

Merqhaven is the trading name of the supplier identified in the final quotation. These terms are intended for entrepreneurs acting for their business or profession. Classification is determined by the facts; a checkbox does not remove any mandatory consumer rights or protection for small businesses. A suitable separate process will be established for consumers before an order.

2. Quotation and formation of the agreement

An enquiry or automatic draft proposal is not an order confirmation. An agreement is formed after explicit written acceptance of a final quotation and confirmation by Merqhaven. The quotation states the scope, price, start, duration, payment schedule and these terms. The customer receives the applicable version in advance in a form that can be retained. Deviations in the signed quotation take precedence; mandatory law always applies. Draft quotations are intended for review and are not emailed automatically.

3. Scope and additional work

Only Extended maintenance at €99 per month includes up to one shared working hour per subscription month for the five existing pages. Unused time does not carry over. Work beyond this budget requires prior approval at €65 per hour excluding VAT. Extra pages and features receive a separate quotation. The client is informed of actual time spent.

4. Payment for one-off projects

For standard projects, the agreed one-off price is paid 100% in advance, before work is carried out. A large custom project uses the following schedule only where it is expressly stated in the quotation:

  1. 50% on order confirmation, before the start.
  2. 25% on presentation of the agreed initial design or specified interim deliverable.
  3. 25% before final delivery, handover or publication.

The quotation defines each milestone. A presentation does not constitute automatic final approval. Milestone payments must correspond to demonstrably delivered partial work; material defects in a disputed deliverable are first discussed and remedied. Payment of an advance invoice does not excuse failure to deliver. All stated prices exclude VAT; the applicable VAT treatment is checked.

5. Subscriptions and monthly payment

Subscriptions are invoiced in advance. Payment must be received no later than the first calendar day of the relevant month; the invoice is provided sufficiently in advance. For a start midway through a month, the first partial month is payable pro rata in advance. The final partial month is also settled pro rata. The start and initial end dates are stated in the quotation. No direct debit takes place without separate authorisation.

6. Duration, renewal and cancellation

7. Supplied material, scheduling and feedback

The customer supplies usable material, accurate prices and product information, and necessary access on time. Where input is missing, the schedule is adjusted by agreement. Feedback is consolidated within the agreed rounds; a new direction after approval may constitute additional work. At delivery, the customer receives a reasonable review period, normally ten working days unless otherwise agreed. Silence alone is not used to exclude all defects or rights. Specific deviations from the scope are reported and discussed.

The client checks copy, images, business details and claims and approves them in writing before publication. The client is responsible for the accuracy and usage rights of supplied material. Merqhaven remains responsible for careful execution of the agreed work.

After receiving all required information, usable materials and access, we deliver Website Start for review within two weeks. Missing information or delayed feedback shifts the schedule. You provide feedback in one consolidated revision round. Publication only follows your written approval.

8. Social content: no shoots

Merqhaven does not offer shoots or on-location recording, including as an extra service. The customer supplies all photo and video footage with appropriate rights and permissions. We provide selection, editing, design, captions and channel variants within the package. Reuse across channels is not an extra original production. Publication takes place only after customer approval and valid account access. The customer remains the owner of the social accounts.

9. Hosting, maintenance, SEO and GEO

Technical management and content management are described separately. Capacity, backup retention, recovery, response and any SLA are stated in the quotation or service schedule. There is no unlimited capacity or guaranteed availability without specific agreements. SEO/GEO and social marketing do not guarantee rankings, AI mentions, reach, enquiries or revenue. This does not affect the obligation to carry out agreed work with due care.

10. Price changes and third parties

Prices remain fixed during the initial term. A subsequent change is substantiated and announced in writing at least two months in advance. The customer may terminate the affected service free of charge before the change takes effect. Third-party licence, payment provider, domain and capacity costs are identified separately. There is no unrestricted power to change prices unilaterally with immediate effect.

11. Cancellation and late payment

On project cancellation, the parties settle demonstrably completed work and reasonably agreed, unavoidable external costs. Any remaining advance is refunded; advance payment is not automatically entirely non-refundable. Non-payment is followed by a reminder and a reasonable period to remedy it, normally fourteen days after written notice of default. An appropriate service may then be suspended with prior warning, to the extent permitted by law. Data is not immediately deleted. Amounts disputed with reasons are discussed first; statutory interest and reasonable recovery costs apply only where applicable.

12. Ownership, licences and handover

The customer retains rights to supplied content, brand and data. Usage rights and any transfer of specifically created components are set out in the quotation, in principle after full payment. Open-source and external components remain under their own licences; reusable Merqhaven templates and tools may be excluded. Domains and social accounts are set up in the customer's name where possible. Portfolio references are made only with permission.

The subscription remains cancellable monthly. Termination before twelve completed subscription months incurs a pre-agreed one-off fee of €99 excluding VAT for full technical handover. After twelve completed and paid subscription months handover is free. This fee covers handover work, not general cancellation. Technical dependencies and third-party licences are explained in advance. Transfer of personal data follows privacy and processing agreements; the fee does not restrict statutory privacy rights.

13. Privacy, confidentiality and security

The parties handle confidential information with care. Processing of personal data is governed by the privacy information. Where Merqhaven processes customer data on instruction, an appropriate data processing agreement is concluded covering subprocessors, security, incidents and exit. This page does not suggest full GDPR certification.

Standard contact forms are limited to name, company, email, optional phone number and message. Only necessary technical data are processed for security. Do not send medical data, identity documents or payment card details through standard forms. Customer accounts, payments and wider data processing require separate assessment and agreements on security, access and retention. If Merqhaven processes personal data for the client, this is covered by a data processing agreement.

14. Liability and termination

Merqhaven is responsible for careful execution of the agreed work. Liability and any proportionate limits are aligned with risk and insurance in the final agreement. No exclusion applies to intent or liability that mandatory law prohibits excluding. For a material failure, the other party normally has a reasonable opportunity to remedy it. On termination, the client may request the agreed export of their data and transfer of domain access. Full technical handover uses the fee in article 12. Data retention or deletion follows processing agreements and legal retention duties, not an implicit data blockade.

Correction of a demonstrable Merqhaven error in the agreed work is free and does not use the included hour. Recovery following client errors, outside changes or incidents not attributable to Merqhaven falls within the available maintenance time of the chosen package. Extended maintenance can use the remaining monthly hour. Technical maintenance includes no content working hour. Additional work is agreed in advance, only with approval at €65 per hour excluding VAT.

15. Complaints, law and version

Complaints are submitted in writing to the business contact stated in the quotation. The parties first try to find a solution. Applicable law and the competent court are specified in the final quotation after the country of establishment has been determined; mandatory rules continue to apply. A changed website version of these terms does not automatically change existing agreements. The expressly accepted version remains decisive.

Frequently asked questions

Are hosting and a domain name included?

No. Hosting and domain costs are not included in the build price or monthly subscription, including during the introductory offer. These costs are paid separately. Transfer to hosting is included. Hosting requirements, access and any additional licences are agreed in advance.

Can I cancel my subscription each month?

Yes. You can cancel monthly from the start, with no minimum term. Cancel by email before the end of the current subscription month. The subscription ends at the end of that month. This also applies to the introductory offer; twelve months of savings do not require an annual commitment.

What happens to changes after cancellation?

After termination Merqhaven no longer performs changes or maintenance. Hosting and domain registration are separate services with their own terms. Ownership, usage rights and any handover are set out in the quotation. This cancellation arrangement does not automatically block or delete your website or data.

Who owns the website, content and domain name?

You retain rights to your supplied content, brand and data. The quotation sets out usage rights and any transfer of the created website, usually after full payment. External software has its own licences. Domain registration and access arrangements are agreed before the order.

How do I pay for the website and subscription?

Standard orders are paid in full in advance. Large custom projects use the agreed split of 50% on order, 25% at the agreed presentation and 25% before delivery. Subscriptions are paid in advance, by the first of the month. Final amounts and terms are in your quotation.

Maintenance, content and backups

Who checks the content before publication?

The client checks copy, images, business details and claims and approves them in writing before publication. The client is responsible for the accuracy and usage rights of supplied material. Merqhaven remains responsible for careful execution of the agreed work.

What if my changes take more than one hour?

Only Extended maintenance at €99 per month includes up to one shared working hour per subscription month for the five existing pages. Unused time does not carry over. Work beyond this budget requires prior approval at €65 per hour excluding VAT. Extra pages and features receive a separate quotation. The client is informed of actual time spent.

How are backups and recovery arranged?

The agreed backup approach covers code, images, relevant settings and the database: a restore point before changes, checks afterwards, daily backups of changing data, multiple versions retained for 30 days and a separate copy. Recovery is tested periodically. Before service starts, the quotation or service appendix confirms the technical setup, retention, test frequency and recovery arrangements for each hosting environment. This does not guarantee zero data loss or uninterrupted availability.

Before starting, we record which backup and recovery provisions on your hosting are technically possible, configured and tested. The provider and required access determine implementation. A backup download alone does not prove working automatic backups or a recovery test.

Recovery, handover and personal data

What does recovery cost if something goes wrong?

Correction of a demonstrable Merqhaven error in the agreed work is free and does not use the included hour. Recovery following client errors, outside changes or incidents not attributable to Merqhaven falls within the available maintenance time of the chosen package. Extended maintenance can use the remaining monthly hour. Technical maintenance includes no content working hour. Additional work is agreed in advance, only with approval at €65 per hour excluding VAT.

What does a full technical handover cost on cancellation?

The subscription remains cancellable monthly. Termination before twelve completed subscription months incurs a pre-agreed one-off fee of €99 excluding VAT for full technical handover. After twelve completed and paid subscription months handover is free. This fee covers handover work, not general cancellation. Technical dependencies and third-party licences are explained in advance. Transfer of personal data follows privacy and processing agreements; the fee does not restrict statutory privacy rights.

Which personal data belong on a simple business website?

Standard contact forms are limited to name, company, email, optional phone number and message. Only necessary technical data are processed for security. Do not send medical data, identity documents or payment card details through standard forms. Customer accounts, payments and wider data processing require separate assessment and agreements on security, access and retention. If Merqhaven processes personal data for the client, this is covered by a data processing agreement.
